Terms of Service

These Terms of Service (“Terms”) govern your access to Susan’s websites, applications, workflows, document storage, reminders, and related services (collectively, the “Service”). “Vibe,” “we,” “us,” and “our” mean Vibe Software, LLC. By accessing or using the Service, you agree to these Terms and our Privacy Policy.

You must be at least 18 years old and able to enter a binding contract to use the Service. If you use Susan for a company or another person, you represent that you are authorized to act for them.

Susan provides software-assisted business formation, recordkeeping, compliance, document, and administrative workflows. Features may include checklists, information, document preparation, reminders, storage, calculations, and links to government or third-party services.

Unless Susan expressly confirms that a particular filing, payment, or order has been completed, you remain responsible for completing it. Government agencies and third parties make their own decisions and may reject or delay a submission.

Susan is software. Vibe is not a law firm, CPA firm, registered agent, bank, insurer, or government agency. The Service does not create an attorney-client, accountant-client, fiduciary, or registered-agent relationship. Information and automated recommendations are general and are not legal, tax, accounting, investment, or financial advice.

Laws and individual circumstances vary. You should consult a licensed attorney, CPA, tax adviser, or other qualified professional when your situation calls for professional judgment. Additional detail appears in our Disclaimer.

• Provide accurate, current, and complete information.
• Keep your sign-in credentials and devices secure.
• Use each company workspace only if you are authorized to access and act for that company.
• Notify us promptly if you suspect unauthorized access or incorrect company permissions.

You are responsible for activity performed through your account to the extent permitted by law. We may rely on instructions submitted through an authenticated account.

You retain ownership of information and files you submit. You grant Vibe a limited license to host, copy, process, transmit, and display that content as needed to operate, secure, support, and improve the Service and to carry out actions you authorize.

You represent that you have the right to provide the content and that your instructions are lawful. You are responsible for reviewing names, addresses, ownership details, filing information, and documents before authorizing their use or submission.

Susan may link to or help you work with government agencies, registered-agent providers, financial institutions, and other third parties. Their services, fees, availability, terms, and privacy practices are separate from ours. Vibe does not control their actions and is not responsible for their decisions, outages, or performance.

A name search or preliminary check does not reserve a name or guarantee acceptance. A registered-agent provider does not become your agent until that provider accepts the appointment and any required consent is in place.

If a Susan feature requires payment, the applicable Susan fee will be disclosed before you authorize the purchase. Susan’s $297 formation price includes the standard state filing fee shown during formation. When checkout includes Susan-arranged registered-agent service, the first year is included and the service automatically renews at the annual price disclosed at checkout until canceled. Taxes, optional state services, and other third-party fees are separate. Third-party payments may be governed by the third party’s own terms and refund policy.

The registered-agent address is not a general mailing address. Five regular-mail items per service year are included; each additional item costs $15. Secretary of State mail and Service of Process documents do not count. Junk mail is discarded and packages may be refused.

You may not use the Service to:

• violate law, another person’s rights, or a court order;
• submit false, misleading, fraudulent, or unauthorized filings;
• access another user’s account or company without permission;
• interfere with, probe, overload, reverse engineer, or circumvent the Service or its security measures, except where law permits;
• upload malware or content that is unlawful or harmful; or
• resell or exploit the Service without our written permission.

Vibe and its licensors own the Service, including its software, designs, branding, workflows, and content, excluding content you provide. Subject to these Terms, Vibe grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own lawful business purposes.

We may add, change, suspend, or discontinue features. We work to keep Susan dependable, but the Service may occasionally be unavailable or contain errors. Reminders are a convenience and may be affected by incomplete information, changing laws, delivery failures, or service interruptions.

You may stop using Susan at any time. We may suspend or terminate access if reasonably necessary to protect users or the Service, investigate suspected misconduct, comply with law, address nonpayment, or enforce these Terms. Where practical, we will provide notice and a reasonable opportunity to export your records.

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Vibe disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or accepted by any government agency or third party.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

To the fullest extent permitted by law, Vibe and its affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from the Service.

To the fullest extent permitted by law, Vibe’s aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid Vibe for the Service during the 12 months before the event giving rise to the claim or (b) $100. These limits do not apply where prohibited by law.

To the extent permitted by law, you will defend, indemnify, and hold Vibe harmless from third-party claims, losses, and reasonable expenses arising from your content, your unauthorized or unlawful use of the Service, your violation of these Terms, or your violation of another person’s rights.

These Terms are governed by Florida law, without regard to its conflict-of-laws rules, except that the law of a company’s formation jurisdiction continues to govern that company’s internal affairs. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Broward County, Florida, unless applicable law gives you a non-waivable right to another forum.

Before filing a claim, please email us with a description of the issue and the relief requested so we can try to resolve it informally.

We may update these Terms as Susan evolves. We will post the updated version and revise the effective date. If a change materially affects your rights, we will provide additional notice when reasonably practical. Continued use after the updated Terms take effect means you accept them.
